TERMS AND CONDITIONS

Introduction 

  1. Information on how to enter this promotion and the Prize forms part of these Terms and Conditions. By participating, entrants ("you") agree to be bound by these Terms and Conditions.
  2. Entry in the Promotion is only open to New Zealand residents aged eighteen (18) years or over, and who are valid holders of a current Visa card that has contactless payment functionalities.
  3. Employees (including contractor staff) of the Promoter and their Immediate Family, and any of the Promoter's agencies, suppliers or contractors associated with this promotion and their Immediate Family, are ineligible to enter. “Immediate Family” means any of the following: spouse, ex-spouse, de-facto spouse, child or step-child (whether natural or by adoption), parent, step-parent, grandparent, step-grandparent, uncle, aunt, niece, nephew, brother, sister, step-brother, step-sister or first cousin.
  4. The Promoter reserves the right, in its sole discretion, but shall not be under any obligation, to verify the validity of any Entry or any information provided by an entrant (including his or her identity, age, residential address and any other information relevant to entry into, or participation in, this promotion). If the Promoter, in its sole discretion, carries out any verification, its decision shall be final and you agree not to make any claim or complaint in relation to the same. The Promotor may, in its sole discretion, disqualify any individual who submits an Entry that in the sole opinion of the Promoter is not in accordance with these Terms and Conditions or who provides false information, fails to provide information, conspires with others to gain an unfair advantage or who is otherwise involved in manipulating, interfering or tampering in any way with this promotion. You agree and acknowledge that the Promotor shall not be obliged to explain or disclose its reasons for disqualification, and that all disqualification decisions made by the Promotor shall be final and not subject to challenge or inquiry. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights. The Promoter's legal rights to recover damages or other compensation are expressly and generally reserved.
  5. The Promotion will take place from 20 August 2018 until Sunday 26 August 2018, (each a "Promotional Day", and together, the "Promotional Period") and will be conducted at the Visa Festival Hub (“Event”) at Prefab Hall, 14 Jessie Street, Wellington, where the Visa-branded vending machine ("Vending Machine") is located.
  6. Entrants will only be able to access the Vending Machine at the following times:
    • On Monday 20 August from 5:30pm until 10:30pm;
    • On Tuesday 21 August, from 11:00am until 3:00pm and from 5:30 pm until 10:30 pm;
    • On Wednesday 22 August, from 11:00am until 3:00pm and from 5:00pm until 10:00pm;
    • On Thursday 23 August from 11:00am until 3:00pm and from 5:30pm until 7:30pm;
    • On Friday 24 August from 7:00pm until 9:30pm;
    • On Saturday 25 August from 1:30 pm until 3:30pm and from 5:00pm until 7:00pm; and
    • On Sunday 26 August from 9:00 am until 4:30pm

    (“Access Period”)
  7. The Promotion will commence at the time specified in clause 6 on each Promotional Day.  The ability to enter the Promotion on each Promotional Day will cease at the time specified in clause 6, or when stocks of items in the Vending Machine are exhausted.
  8. Entries must be received during the Access Period on each Promotional Day. Entries are deemed to be made at the time of receipt by the Promoter, not the time of posting or transmission by you.  The Promoter accepts no responsibility for any entries not received for any reason (whether or not due to any negligence by the Promoter), including, without limitation, any technical errors, misdirection, misspellings or human error.

    How to enter Promotion 
  9. Any person attending the Event may elect to enter the Promotion for a chance to win the Prize by following the steps in clause 10 below.
  10. To participate in the Promotion, you must complete each of the steps described below on a Promotional Day to submit an "Entry":
     Option A:


    • Locate the Vending Machine at the Event;
    • Follow the prompts on the Vending Machine to select your chosen available item;
    • Pay for your chosen available item with contactless Visa payment (which includes but is not limited to contactless Visa payment using Apple Pay);
    • Follow the prompts on the Vending Machine to elect to participate in the draw for a chance to win the Prize, and agree to these Terms and Conditions;
    • Perform a dance, or pose for a photograph, when prompted in front of the Vending Machine. This will be recorded and/or photographed; and
    • Provide your mobile phone number when prompted by the Vending Machine.
     Option B:
    • Locate the Vending Machine at the Event;
    • Follow the prompts on the Vending Machine to elect to participate in the draw for a chance to win the Prize, and agree to these Terms and Conditions;
    • Perform a dance, or pose for a photograph, when prompted in front of the Vending Machine. This will be recorded and/or photographed; and
    • Provide your mobile phone number when prompted by the Vending Machine.
  11. Entrants in the Promotion will have the option to send the video and images captured in accordance with step (e) of Option A and step (c) of Option B to the mobile number they provide in accordance with step (f) of Option A or step (d) of Option B. Entrants are free to share these videos and/or images via their social media channels, provided they are shared with the hashtag “#VWOAP". For the avoidance of doubt, however, sharing these videos and/or images is not a condition of submitting an Entry. 
  12. Incomplete, illegible, corrupted, inaccurate, offensive, indecent, indecipherable and inappropriate Entries and Entries otherwise in breach of clause 14 below will be deemed invalid.
  13. Multiple Entries into the Promotion are permitted per person, subject to a limit of one (1) Entry per transaction on the Vending Machine, provided each Entry is submitted separately and in accordance with entry requirements.
  14. Entrants agree that they are fully responsible for any materials they submit via the Promotion; including but not limited to comments, recordings and images ("Content"). The Promoter shall not be liable in any way for such Content to the full extent permitted by law. The Promoter may remove or decline to publish any Content without notice for any reason whatsoever. Entrants warrant and agree that:
    • they will not submit any Content that is unlawful or fraudulent, or that the Promoter may deem in breach of any intellectual property, privacy, publicity or other rights, defamatory, obscene, derogatory, pornographic, sexually inappropriate, violent, abusive, harassing, threatening, objectionable with respect to race, religion, origin or gender, not suitable for children aged under fifteen (15), or otherwise unsuitable for publication;
    • their Content shall not contain viruses or cause injury or harm to any person or entity;
    • they will obtain prior consent from any person or from the owner(s) of any property that appears in their Content;
    • the Content is the original work of the entrant or they will obtain full prior consent from any person who has jointly created or has any rights in the Content to the uses contemplated by these Terms and Conditions, and does not infringe the rights of any third party;
    • they consent to any use of the Content which may otherwise infringe the Content creator’s/creators’ moral rights pursuant to the Copyright Act 1994 and warrant that they have the full authority to grant these rights; and
    • they will comply with all applicable laws and regulations, including without limitation, those governing copyright, content, defamation, privacy, publicity and the access or use of others' computer or communication systems.
  15. The Promoter may, but is not required to, screen or monitor Entries, including for compliance with the requirements set out in clause 14 above. The Promoter will make all determinations as to the compliance and appropriateness of Entry submissions in its sole discretion. Entrants irrevocably agree and acknowledge that the Promoter may reject, edit or remove any Entry at any time without notice and without assigning any reason whatsoever.
  16. Without limiting any other terms herein, the entrant agrees to indemnify the Promoter for any breach of clause 14 above.
    Prize and Draw 
  17. There is one (1) major Prize with an estimated RRP of $5,000 NZD to be won.
  18. The Prize includes:
    a. 2 x return economy (‘The Works’) flights on Singapore Airlines, from the Air New Zealand International Airport closest to the winner to Melbourne, in March 2019;
    b. Return airport transfers in Melbourne;
    c. Three (3) nights’ accommodation at a Melbourne Food and Wine Festival 2019 Partner Hotel, including breakfast for two people;
    d. 2 x Melbourne Food and Wine Festival 2019 ticket packages (“Ticket Package”),
    (the “Prize”).
  19. Details of the Ticket Package are to be confirmed at a later date, but may include such things as:
    a. Chef’s table tickets;
    b. VIP MasterClass seating;
    c. Signed cookbooks;
    d. Personal meet and greets; and 
    e. A Melbourne Food and Wine Festival 2019 goody bag.

    The Prize excludes:
    Any additional international/domestic flights, train, car or other travel costs outside of those listed above. Any meal, event and/or activity outside of the program schedule including transportation. Additional spending money, additional meals, taxes, insurance, passports, visas, vaccinations, transport to and from departure point in Australia, additional transfers, items of a personal nature, in-room charges, hotel incidentals, and all other ancillary costs are not included. 
  20. The Prize must be redeemed during the 2019 Melbourne Food and Wine Festival (dates to be confirmed), subject to booking and flight availability. Itinerary is to be determined by the Promoter in agreement with the winner. In the event that agreement cannot be reached, the Promoter reserves the right to determine the itinerary.
  21. The winner and his/her companions are responsible for ensuring that they have valid passports, and any requisite visas, vaccinations and travel documentation. The winner and his/her travel companions must depart from and return to the same departure point and travel together. The Prize cannot be separated into separate trips or components. Frequent flyer points will not form part of the Prize. The Prize is subject to the standard terms and conditions of individual Prize and service providers. The winner may be required to present their credit card at time of accommodation check in and entry to the festival. Travel companions must be 18 years or over.
  22. The Prize draw will take place at the offices of Bell Gully, 48 Shortland Street, Auckland, 1140 on Wednesday 29 August at 9:30am (the "Draw Date"), and will include all valid Entries received by the Promoter during the Promotional Period.
  23. The Promoter’s representative may draw additional reserve Entries and record them in case an invalid entry or ineligible entrant is drawn.
  24. On the Draw Date, the winner will be the first valid entry randomly drawn by the Promoter's representative from all valid Entries received by the Promoter during the Promotional Period. The winner will be the registered owner of the phone number associated with the winning Entry.
  25. The Promoter’s decision, and the decision of its employees, representatives and agents, is final and no correspondence will be entered into.
  26. The winner of the Promotion will be notified by a telephone call to the number provided as part of the winning Entry within two (2) business days of the Draw Date. The winner of the Promotion must contact the Promoter within 5 calendar days of the day that the notification was issued by the Promoter, and follow the instructions set out in the notification to confirm whether he or she accepts the Prize, or else he or she will be taken to have forfeited his or her right to the Prize.
  27. The winner’s name will be published online at the Visa New Zealand Facebook page at https://www.facebook.com/VisaN..., from Friday 31 August 2018.
  28. The Promoter will make all reasonable attempts to identify and contact the winner.
  29. In the event that the winner of the Prize cannot be identified or contacted by 11:59pm on 5 September 2018, despite all reasonable attempts to do so by the Promoter, or the Prize is unclaimed by that time for any other reason whatsoever (including because the winner has forfeited his or her right to the Prize, the winner or the winning Entry does not comply with these Terms and Conditions, or otherwise), the Promoter will conduct a second chance draw at 9:30am on 6 September 2018 (the "Second Draw Date"), at the same time and location as the first draw in order to determine a second chance winner for the Prize in the same manner as the original Prize draw (subject to any written directions from a regulatory authority).
  30. The second chance winner of the Prize will be notified by a telephone call to the number provided as part of the second chance winners Entry within two (2) business days of the Second Draw Date. The second chance winner of the Prize must contact the Promoter within 5 calendar days of the day that the notification was issued by the Promoter, and follow the instructions set out in the notification to confirm whether he or she accepts the Prize, or else he or she will be taken to have forfeited his or her right to the Prize.
  31. The second chance winner's name will be published online at the Visa New Zealand Facebook page at https://www.facebook.com/VisaN..., from 7 September 2018.
  32. The Promoter will make all reasonable attempts to identify and contact the second chance winner.
  33. In the event that the second chance Prize winner cannot be identified or contacted by 14 September 2018 despite all reasonable attempts to do so by the Promoter, or the Prize (or part of the Prize) is unclaimed by that time for any other reason whatsoever (including because the second chance winner has forfeited his or her right to the Prize, the second chance winner or the second chance winning entry does not comply with these Terms and Conditions, or otherwise), the Promoter may dispose of the Prize (or that part of the Prize) as it sees fit (subject to any written directions from a regulatory authority).
  34. In order to redeem the Prize, the winner or second chance winner may be required to present proof that they are a Visa cardholder and made the eligible qualifying purchase via the contactless Visa payment method. The Promoter reserves the right to confirm the eligibility of any winning entry by requiring the winning entrant to provide the first four digits of their Visa card number, along with identification.
    General
  35. Any ancillary costs associated with redeeming the Prize are not included. Any unused or unredeemed part of the Prize will not be awarded as cash. Redemption of the Prize is subject to any terms and conditions of the issuer or Promoter, including those specified on the tickets or vouchers included as part of the Prize. 
  36. The Prize is subject to the event venue and ticket terms and conditions, including any applicable age restriction. The Promoter and event organisers hereby expressly reserve the right to eject any winner (and/or any companions) for any inappropriate behaviour, including but not limited to intoxication, whilst participating in any element of the Prize.
  37. Any costs associated with entering this Promotion or claiming the Prize are the responsibility of the entrant and under no circumstances whatsoever may a claim be brought against the Promoter for any such costs (whether as damages, loss, expense or otherwise).
  38. If the Prize (or any part of the Prize) becomes unavailable, the Promoter, in its discretion, reserves the right to substitute the Prize (or that part of the Prize) with a prize to the equal value and/or specification, subject to any written directions from a regulatory authority.
  39. For the avoidance of doubt, the Promoter will not provide any substitute for the Prize if the Melbourne Food and Wine Festival 2019 (or part thereof) is cancelled, suspended, delayed or postponed, or if the winner is not able to, fails to, or is unwilling to travel to the relevant destination for any reason not due to the fault of the Promoter (including without limitation any travel ban or health/travel warnings). All travel is at the winner’s and his/her travel companions own risk.
  40. The Prize cannot be resold (at a premium or otherwise) or advertised or offered for resale on the Internet or any other medium.
  41. The Prize, or any unused portion of the Prize, is not transferable or exchangeable and cannot be taken as cash, unless otherwise specified. All taxes that may be payable as a consequence of receiving the Prize are the sole responsibility of the winner.
  42. The winner must immediately provide a copy of these Terms and Conditions to his or her chosen companions. By agreeing to participate in the Prize, each companion agrees to be bound by these Terms and Conditions in the same manner, and to the same extent, as the winner.
  43. As a condition of accepting the Prize, the winner and their companions must sign any legal documentation as and in the form required by the Promoter and/or prize suppliers in their absolute discretion, including but not limited to a legal release and indemnity form. The winner will take responsibility for all breaches, acts and omissions of his/her companions which shall be deemed as the winner's breach, act or omission (as the case may be).
  44. By submitting an Entry, including by participating in a dance or posing for a photograph in front of the Vending Machine, you grant the Promoter, its affiliates and sub-licensees a non-exclusive, irrevocable, perpetual, royalty-free, worldwide licence ("Licence") to use, reproduce, distribute, display, perform, redact, edit, republish, sublicense, translate, copy and create derivative works from your Entry, for any purpose, including but not limited to future promotional, marketing or publicity purposes, in any media now known or hereafter developed, without any payment, compensation or further notification to or permission from you.  Pursuant to the grant of the Licence as aforesaid, for the avoidance of doubt you consent to the Promoter, and anyone acting on behalf of the Promoter, doing any act in accordance with the Licence that would otherwise constitute an infringement of any moral or intellectual property rights that you or any other relevant party may have in your Entry.
  45. Entrants consent to the Promoter using their name, likeness, image and/or voice (including photograph, film and/or recording of the same) in any media for an unlimited period without remuneration for the purpose of promoting this promotion (including any outcome), and promoting any products or services manufactured, distributed and/or supplied by the Promoter.
  46. If this promotion is interfered with in any way or is not capable of being conducted as reasonably anticipated due to any reason beyond the reasonable control of the Promoter, including but not limited to technical difficulties, unauthorised intervention or fraud, the Promoter reserves the right, in its sole discretion, to the fullest extent permitted by law: (a) to disqualify any entrant; or (b) subject to any written directions from a regulatory authority, to modify, suspend, terminate or cancel the promotion, as appropriate.
  47. Any cost associated with accessing the internet with respect to this promotion is the entrant’s responsibility and is dependent on the Internet service provider used.
  48. The use of any automated entry software or any other mechanical or electronic means that allows an entrant to automatically enter repeatedly is prohibited and will render all entries submitted by that entrant invalid.
  49. Printing and other quality control errors will not invalidate an otherwise valid prize claim. Unless otherwise due to fraud or ineligibility under these Terms and Conditions, all valid prize claims in excess of the advertised prize pool will be honoured 
  50. Except for any liability that cannot by law be excluded the Promoter (including its respective officers, employees and agents) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of the promotion, including, but not limited to:
    a. any technical difficulties or equipment malfunction (whether or not under the Promoter’s control);
    b. any theft, unauthorised access or third party interference;
    c. any Entry or any Prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Promoter) due to any reason beyond the reasonable control of the Promoter;
    e. any variation in the Prize value to that stated in these Terms and Conditions;
    f. any tax liability incurred by a winner or entrant; or
    g. redemption/use of and/or participation in the Prize.
  51. To the extent permitted by law, the Promoter (including its officers, employees and agents) will not be responsible for any acts of God, acts of terrorism or war (declared or undeclared), state of emergency, disaster, technical failures, tampering, unauthorised intervention, fraud, computer viruses or other events beyond the control of the Promoter which affect the proper conduct or administration of this promotion, or prevent the awarding of the Prize in accordance with these Terms and Conditions.  If such event occurs, the Promoter reserves the right in its sole discretion to cancel, terminate, modify or suspend the promotion, subject to any written directions from a relevant regulatory authority.
  52. As a condition of participating in the promotion, all entrants (whether or not a winner) will indemnify the Promoter, all organisers, sponsors and all other persons and organisations associated in any way with this promotion and its affiliates against all claims, damages, liabilities, costs and expenses (including costs on a solicitor-client basis) which the Promoter and its affiliates may incur arising out of the participation in the promotion or (if applicable) participation in the Prize by the entrant, any breach of these Terms and Conditions, or any wrongful or illegal act or omission in the promotion, howsoever caused.
  53. The Promoter collects personal information ("PI") in order to conduct its business and the promotion and may, for this purpose, disclose such PI to third parties, including but not limited to agents, contractors, service providers, prize suppliers and, as required, to New Zealand regulatory authorities. Entry is conditional on providing this PI. Failure to provide requested information may disqualify a person from being able to receive the Prize. The Promoter will also use and handle PI as set out in its Privacy Policy, which can be viewed at https://www.visa.co.nz/legal/privacy-policy.html. In addition to any use that may be outlined in the Promoter’s Privacy Policy, the Promoter may, for an indefinite period, unless otherwise advised, use the PI for promotional, marketing, publicity, research and profiling purposes, including sending electronic messages or telephoning the entrant. The Privacy Policy also contains information about how entrants may opt out, access, update or correct their PI, how entrants may complain about a breach of the New Zealand privacy laws or any other applicable law and how those complaints will be dealt with.
  54. Under the Privacy Act 1993, entrants have the right to access and request correction of PI. Entrants should direct any request to access, update or correct PI to the Promoter at Zoe.Scheltema@colensobbdo.co.nz.
  55. All entries become the property of the Promoter. The Promoter will not disclose entrant’s personal information to any entity outside of New Zealand.
  56. The laws of New Zealand apply to this promotion to the exclusion of any other law.  You agree to submit to the exclusive jurisdiction of the courts of New Zealand.
  57. The Promoter reserves the right, at any time, to amend the Terms and Conditions of this Promotion, subject to approval by the appropriate regulatory authorities where applicable.
